Student Enrollment Agreement – Soshaul Logistics Online Trucking Business Training Program/Course
This Student Enrollment Agreement (“Agreement”) is a binding agreement between You, the Student (“Student”), and Soshaul Logistics, LLC. (“Soshaul”) with regard to a single enrollment in Soshaul’s Online Trucking Business Training Program/Course. This Agreement becomes binding and effective upon the Student’s acceptance, indicated by online acknowledgement of receipt of, and agreement to, the provisions of this Agreement at time of purchase of Soshaul’s Online Trucking Business Training Program.
BY PARTICIPATING IN THE SOSHAUL LOGISTICS ONLINE TRUCKING BUSINESS TRAINING PROGRAM, YOU ARE CONFIRMING THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
The Parties hereto agree as follows:
1. ADMISSIONS CRITERIA: The Student shall have responsibility for review of the Program Description for the Online Trucking Business Training Program provided by and made available by Soshaul at www.soshaul.com, whether the Student self-enrolls or enrolls with the assistance of an advisor or counselor from Soshaul.
2. PROGRAM FEE (TUITION): The program fee (tuition) and payment for the online program, including any applicable taxes, must be received by Soshaul before the Student will be officially registered and allowed to commence in the online trucking business training program.
3. COMPLETION REQUIREMENTS: In order to receive a Certificate of Completion, the Student must successfully access the program via Soshaul’s website where Students access the online program using the link provided by Soshaul and complete the online program within six months following the date on which the Student registers, enrolls, pays in full, accesses, and first commencing the program. The cost (tuition) for the online trucking business training program must be paid in full before the Student can fully commence in the course and receive a Certificate of Completion.
4. PROGRAM CANCELLATION POLICY: The Student may request the Student's registration and enrollment be canceled at any time before the Student pays for and accesses the online trucking business training program.
5. REFUND POLICY. All program, courses, e-books, templates, checklists, and guides are digital products and non-refundable. All digital product purchases are final and are not eligible for return, refund, or exchange. Once a Student requests, receives, or accesses Our Online Trucking Business Training Program materials or begins viewing any Program or Course content, materials, lectures, or templates, no refunds will be allowed or granted.
Soshaul’s refund policy shall not be superseded by an Affiliate, partner school, or third-party funding source’s policy unless that policy is more stringent, such as one that does not allow for refunds.
The Student shall have the responsibility to review the Program Description (available at www.soshaul.com) prior to enrollment whether the Student self-enrolls or enrolls with the assistance of an admissions advisor or counselor. Soshaul clearly states that it’s program, courses, e-books, templates, checklists, and guides are digital products and non-refundable.
6. EXTENSION POLICY: If the Student requires additional time to complete the course, the Student may be granted up to two extensions, each equal to fifty percent (50%) of the initial duration of access. Extensions shall not exceed the initial duration of access by one hundred (100%) or a total duration with all extensions of 200%. (For example, a 6-month program will have two 3-month extensions available, for a total duration or access period of 12 months.)
Extension requests must be received within one (1) weeks of the set end date. The cost for extension will be determined using the following table:
The program (tuition) fee in the above table refers to purchase price as listed on the Student’s order confirmation at time of purchase. Discounts received will not be taken into consideration when calculating extension costs. Extension fees are not refundable and taxes may apply.
7. HOLD POLICY: A “hold” is a permitted suspension of the Student’s participation in the program without penalty. The Student may request a hold of up to ninety (90) days and holds will only be granted for those with extenuating circumstances, at Soshaul’s discretion, such as military deployment or documented medical concerns. A hold suspends and stops Student access to Soshaul’s Online Trucking Business Training Program. Some program holds may incur a fee consistent with a second extension fee and the Student shall be made aware of this before the hold is initiated. Section 5 Refund Policy, applies to holds and the entire Agreement herein, makes clear that there are no refunds for all program, courses, e-books, templates, checklists, and guides due to the nature of digital products and similar online content. A “hold” may or may not be granted at Soshaul’s sole discretion.
8. STUDENT SUPPORT: Soshaul’s normal hours of operation are Monday through Thursday, from 7:00am to 5:00pm Eastern time. The Student has a reasonable expectation that Student will receive responses from a Soshaul advisor and/or program facilitator within 24 hours, Monday through Thursday.
9. CERTIFICATE OF COMPLETION. Soshaul will timely deliver electronically a Certificate of Completion (e-Certificate) to any Student successfully completing Our Online Trucking Business Training Program.
10. REQUIREMENTS FOR CERTIFICATION AND LICENSING: I (the Student) understand that upon completion, I may be required to obtain licensure or certification on my own (e.g., CDL Class A, CDL School Bus Endorsement). No Soshaul representative or employee, or its affiliates, has guaranteed my eligibility for any certification or licensure.
11. ADDITIONAL TRAINING DISCLOSURE: I understand that some jobs may require additional training, even after completion of Soshaul’s Online Trucking Business Training Program. Certain cities, counties, states and employers may have specific regulations for employment including a minimum number of training hours and successful completion of a written and or practical exam. I understand that this might impact the availability of employment positions and have researched such requirements prior to enrolling and commencing in the Online Trucking Business Training Program.
12. MESSAGING DISCLOSURE: I expressly consent to Soshaul, or its affiliates, using prerecorded/artificial voice messages, phone monitoring and recording of phone calls for quality assurance, text messages and/or automatic dialing/texting equipment to contact me as the law allows. In doing so, I agree that Soshaul or its affiliates may use any phone number I provide to Soshaul or that Soshaul gets from another source, even if the number is for a mobile phone and/or using the number results in charges to me.
13. STUDENT CONSENT TO RELEASE OF DATA: I (the Student) hereby authorize Soshaul to provide My (Student) Results to third parties if: (i) Soshaul believes in good faith the disclosure is required by law, such as to comply with a subpoena, warrant, court order, or similar legal or administrative process; or (ii) a third party purchases or otherwise acquires Soshaul, in which case My (Student) Results will likely be among the assets transferred.
14. NON-DISPARAGEMENT: Each Party agrees and covenants that it will not at any time make, publish, or communicate to any person or entity or in any public forum, including, without limitation, on any digital or online review sites or forums, any defamatory, discrediting or disparaging remarks, comments or statements concerning the other Party or its businesses, or any of its employees or officers, now or in the future. For purposes of this paragraph, a disparaging or discrediting statement or representation is any communication which, if publicized to another, would cause or tend to cause the recipient of the communication to question the business condition, integrity, competence, good character, or product quality of the person or entity to whom the communication relates, but will not include any disclosure required to be made to any governmental or quasi-governmental agency, or any disclosure made in the course of any pending or threatened litigation, mediation, arbitration or agency action.
15. GROUNDS FOR TERMINATION: The Student’s enrollment may be terminated for several reasons, upon Soshaul’s decision, including failure of the Student to comply with Soshaul’s rules and policies, or failure to comply with the terms and conditions set forth herein. Soshaul may terminate the Student’s enrollment at any time for such violations. Soshaul further reserves the right to modify their rules and policies and revise their terms and conditions from time to time, and any such revisions will be posted online at www.soshaul.com. In addition, if the Student owes any amount to Soshaul and is delinquent on the single installment payment for more than ninety (90) days, Soshaul reserves the right to terminate the student’s access to the program without a refund.
16. DISCLAIMERS; LIMITATIONS OF LIABILITY: Soshaul shall not be liable for defects in transmission, connectivity, Internet, Internet Service Provider, unauthorized access, malevolent code or individuals, viruses, interruptions, disruptions or delays, including those which may be caused by regulatory or judicial authorities or Acts of God. SOSHAUL MAKES NO EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS WITH RESPECT TO THE ONLINE TRUCKING BUSINESS TRAINING PROGRAM OR ANY OF OUR PRODUCTS AND SERVICES (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS, MERCHANTABILITY, NON-INFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE). THE STUDENT UNDERSTANDS AND AGREES THAT COMPLETION OF THE PROGRAM IS NOT A GUARANTEE OF EMPLOYMENT OR OF OBTAINING AN INTERNSHIP OR EXTERNSHIP. SOSHAUL HAS NOT MADE ANY PROMISE TO THE STUDENT, EXPRESS OR IMPLIED, REGARDING ANY OPPORTUNITIES FOR THE STUDENT FOLLOWING COMPLETION OF THE PROGRAM. THE STUDENT AGREES TO RELEASE, INDEMNIFY, DEFEND AND HOLD HARMLESS SOSHAUL AND THEIR OWNERS, OFFICERS, DIRECTORS, MANAGERS, MEMBERS, EMPLOYEES, AGENTS, AFFILIATES, AND ASSIGNS FROM ANY SUCH CLAIM. IN NO EVENT SHALL SOSHAUL OR ITS CONTRACTORS AND CONSULTANTS, BE LIABLE IN FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR ANY LOSS OF REVENUE, PROFITS, GOODWILL, USE, OR DATA ARISING OUT OF THIS AGREEMENT OR ACTS OR OMISSIONS IN FULFILLING ITS OBLIGATIONS HEREUNDER, EVEN IF SOSHAUL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN NO EVENT SHALL SOSHAUL'S AGGREGATE LIABILITY TO AFFILIATE PARTNER ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL TUITION FEE PAID BY THE STUDENT DURING THE 6-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
17. GOVERNING LAW AND JURISDICTION FOR DISPUTES: This Agreement shall be construed and enforced in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions which would require the application of the laws of another jurisdiction. Any suit, action or proceeding arising out of or relating to this Agreement may be commenced and maintained only in a Michigan state court of competent subject matter jurisdiction in Kent County, MI, and each Party waives objection to such jurisdiction and venue. The Parties expressly, knowingly and voluntarily waive any right to a trial by jury in any proceeding arising out of or relating to, and/or to enforce this Agreement.
BY PURCHASING SOSHAUL’S ONLINE TRUCKING BUSINESS TRAINING PROGRAM, AND EFFECTIVE THE POSTED DATE OF PURCHASE, I INDICATE MY APPROVAL OF THIS AGREEMENT AND DESIRE TO COMMENCE SOSHAUL’S ONLINE TRUCKING BUSINESS TRAINING PROGRAM UNDER THESE TERMS AND CONDITIONS.
